Commercial Counsel & Compliance Officer

Description MER is seeking an experienced Commercial Counsel & Compliance Officer to serve as the primary legal partner for the Chief Revenue Organization. This role is designed for a commercially minded attorney who combines excellent legal judgment with a practical business approach. The successful candidate will support global sales and business development activities by leading commercial contract negotiations, advising on legal and commercial risks, ensuring regulatory and corporate compliance, and supporting the General Counsel on strategic legal matters. The position plays a critical role in enabling business growth while protecting MER's legal and ethical interests across international markets. Key Responsibilities Commercial Legal Support (60%) Lead the drafting, review and negotiation of commercial agreements with customers, partners and subcontractors. Advise Sales, Business Development and Delivery teams on contractual, commercial and legal matters. Support complex customer negotiations throughout the sales lifecycle. Identify contractual risks and recommend practical, business-oriented solutions. Develop and maintain contract templates, negotiation guidelines and approval processes. Support bids, tenders and RFP responses from a contractual perspective. Collaborate with Finance, Operations and Project Management to ensure contractual obligations are properly managed. Coordinate with external legal advisors when required. Compliance (20%) Serve as the company's Compliance Officer. Maintain and continuously improve MER's compliance framework. Ensure adherence to applicable laws, regulations and internal policies. Develop and deliver compliance awareness and training programs. Support internal compliance reviews and investigations. Monitor regulatory developments impacting MER's international operations. Promote a strong culture of ethics and business integrity throughout the organization. Corporate Legal Support (20%) Support the General Counsel on corporate legal matters. Assist with corporate governance activities and legal documentation. Manage external legal counsel on assigned matters. Maintain legal documentation and contract repositories. Support dispute management and legal process improvements. Requirements LL.B. from an accredited university. Member of the Israeli Bar Association. Additional certifications in Compliance or Corporate Governance are an advantage. 7–10 years of legal experience. Significant experience negotiating complex international commercial agreements. Experience supporting global sales organizations. Experience in infrastructure, telecommunications, technology, engineering, defense or project-based businesses. Previous in-house legal experience is strongly preferred. Experience serving as Compliance Officer or managing corporate compliance programs is an advantage.
